At the 1/19/11 BOD meeting the following Bylaw Changes were proposed. The Club wlll vote on these changes at the Club Assembly on Feb. 23, 2011
 
Proposed changes to the Bylaws of the Rotary Club of Norwich February, 2011 Amend Section 1 of Article 2, add Section 3(d) of Article 2 and re-letter the following paragraphs, and amend Section 4 (a) of Article 2 of the bylaws as follows. Underlines indicate additions, strikethroughs indicate deletions. Article 2 - OFFICERS AND DIRECTORS Section l. Officers. The elected officers of the Association shall be: a President, a President-Elect, a Vice-President, a Vice-President-Elect, a Secretary, and a Treasurer. The President-Elect shall serve as President the following year. Section 3. Duties of Officers. (a) President. It shall be the duty of the President to preside at meetings of the Club and the Board and to perform other duties as ordinarily pertain to the office of President. (b) President-Elect. It shall be the duty of the President-Elect to serve on the Board, to preside at meetings of the Club and Board in the absence of the President and to perform such other duties as may be prescribed by the President or the Board. (c) Vice-President. It shall be the duty of the Vice-President to serve on the Board and to perform such other duties as may be prescribed by the President or the Board. (d) Vice-President-Elect. It shall be the duty of the Vice-President-Elect to serve on the Board and to perform such other duties as may be prescribed by the President or the Board. (d) (e) Secretary. It shall be the duty of the Secretary to keep membership records; record attendance at meetings; send out notices of Club and Board meetings; record and preserve the minutes of such meetings; submit reports as required to RI, including semiannual reports of membership on 1 January and 1 July of each year and prorated reports on 1 October and 1 April of persons elected to membership in the Club since the start of the previous semiannual reporting period; provide a monthly attendance report, which shall be made to the District Secretary within 15 days of the last meeting of the month; collect and remit RI official magazine subscriptions; and perform other duties as usually pertain to the office of Secretary. (e) (f) Treasurer. It shall be the duty of the Treasurer to have custody of all funds, accounting for them to the Club annually and at any other time upon demand by the Board, and to perform other duties as pertains to the office of Treasurer. Upon retirement from office, the Treasurer shall immediately turn over to the incoming Treasurer or to the President all funds, books of accounts, and all other Club records or property in his or her possession. Section 4. Election of Officers and Directors. (a) Nominations. At a regular Club meeting eight weeks prior to the Annual Meeting for election of officers, the presiding officer shall announce the date of the election, the makeup of the Nominating Committee (typically the immediate past three Presidents) and ask the membership to suggest to the committee nominations for President-Elect, Vice-President, Vice-President-Elect, Secretary, Treasurer and two Directors. Final nominations shall be made by the Nominating Committee and presented to the Club at the regular meeting four weeks prior to the Annual Meeting. Nominations may also be presented by individual Club members provided they are submitted to the Secretary in writing at least three weeks prior to the Annual Meeting. Such submissions must be seconded by signature of at least two other members of the Club and shall be signed by the proposed nominee indicating his or her willingness to serve if elected. At the regular meeting two weeks prior to the Annual Meeting, the President shall announce the final list of nominees and the list shall be published forthwith in the Club newsletter.
